Terms of Trade
Last updated: 22 October 2026
These terms apply to wholesale orders placed with Aura Events. They describe how we normally trade. Where a signed proforma invoice or sales contract states something different, that document takes precedence.
1. Quotations
Quotations are valid for two months from the date of issue unless stated otherwise. Prices are ex-works unless the quotation says otherwise, and do not include import duties, taxes or destination charges. Prices may be revised if material or freight costs change materially before an order is confirmed.
2. Minimum order quantity
The minimum order is 50 pieces per colour for chairs and cushions. Different models and colours may be combined within one order and one container. Smaller trial orders can sometimes be arranged — ask our sales team.
3. Orders and payment
An order is confirmed when we have received your signed proforma invoice and the deposit stated on it. The usual structure is a deposit on confirmation with the balance payable before shipment; the exact percentages are set out on each proforma invoice. We accept T/T and L/C at sight. Production only begins once the deposit has cleared.
4. Lead times
Standard production takes 25–30 days after the deposit is received. Lead time starts from deposit, not from the date of enquiry. Where we hold stock of a popular model, we will tell you and can often ship sooner. Lead times are estimates given in good faith; we will notify you promptly if anything changes.
5. Samples
Samples are available for approval before mass production. Sample cost and freight are quoted case by case and confirmed in writing before dispatch. Where a sample is returned in saleable condition, or where it is followed by a production order above the agreed threshold, we will credit the sample charge as agreed at the time of quotation.
6. Colour and finish
Colours are matched as closely as production allows. Small variation between batches is normal in moulded and coated products and is not a defect. Where an exact match is critical, approve a physical sample first — the approved sample is the reference for the order.
7. Packing and shipping
Goods are individually bagged, wrapped in 5-layer kraft paper and packed in export cartons. Shipping terms follow the Incoterm stated on the proforma invoice. Risk passes as set out in that Incoterm. We can arrange freight on your behalf on request, or work with your nominated forwarder.
8. Inspection and claims
Please inspect the goods on arrival and notify us in writing within 15 days of delivery, with photographs of the affected items and the carton labels. Claims relating to transit damage should also be raised with the carrier. Once we have confirmed a manufacturing defect, we will repair, replace or credit the affected quantity at our option.
9. Force majeure
Neither party is liable for delay caused by events outside its reasonable control, including natural disasters, epidemics, government action, port closures or freight disruption. The affected party will notify the other promptly and the delivery date will be extended accordingly.
10. Governing law
These terms are governed by the laws of the People's Republic of China. The parties will attempt to resolve any dispute by negotiation first; failing that, the dispute will be referred to the competent court at the seller's place of business, unless the sales contract provides for arbitration.
